These Terms of Service (201cTerms201d) govern your access to and use of the Techline Tools
and pec.techlinetools.com website, platform, and purchasing services. Please read them
carefully before placing orders or using any account features. By accessing the website or using
an approved account, you agree to be bound by these Terms on behalf of yourself and the
organization you represent.
For approved account holders, Techline Tools and the customer may also be subject to a
Master Supply Agreement (“MSA”) or similar written contract, which shall take precedence over
these Terms with respect to its subject matter.
If you do not agree to these Terms, do not use this website or submit an account application.
1. Acceptance of Terms
By accessing the Techline Tools or pec.techlinetools.com website, submitting an account
application, or placing an order, you confirm that you have read, understood, and agreed to
these Terms. If you are acting on behalf of a business or organization, you represent that you
have authority to bind that entity to these Terms.
These Terms apply to all users of the platform, including general visitors, account applicants,
and approved account holders. General visitors who browse without creating an account are
also subject to the Acceptable Use provisions in Section 11.
1.1 Relationship to Master Supply Agreement
For approved account holders, Techline Tools and the customer may enter into a Master Supply
Agreement, supply agreement, or other written contract (collectively, “MSA”) governing pricing,
payment terms, purchasing procedures, and other commercial terms.
In the event of any conflict between these Terms and an applicable MSA, the MSA shall control
with respect to the subject matter of that agreement. These Terms apply to all platform usage
unless expressly superseded by an MSA.
“Master Supply Agreement” or “MSA” means any written agreement between Techline Tools
and a customer governing the purchase of products or services.
2. Eligibility and Business Use
Techline Tools and the pec.techlinetools.com website is a business-to-business (B2B) platform.
This website is intended exclusively for use by businesses, municipalities, utilities, contractors,
industrial organizations, and other qualified commercial entities purchasing tools for professional or organizational use.
By submitting an account application or placing an order, you represent and warrant that:
• You are at least 18 years of age;
• You are acting on behalf of a legitimate business, organization, or governmental entity;
• You are authorized to make purchasing decisions or otherwise bind your organization;
• The intended use of products purchased is professional, commercial, or organizational
— not personal consumer use; and
• You will comply with all applicable laws, regulations, and workplace safety requirements
related to your purchase and use of the products.
Techline Tools reserves the right to decline, limit, or revoke access to any user who does not
meet these requirements or who provides inaccurate information during account registration.
3. Account Registration and Approval
3.1 Application Process
Pricing and purchasing on any Techline Tools platform is restricted to approved account
holders. Submitting an account application does not guarantee approval. Techline Tools reviews
all applications and may approve or deny access at its discretion, without obligation to explain
the reason for any decision.
3.2 Accuracy of Information
You agree to provide accurate, complete, and current information when submitting an account
application and to promptly update that information as circumstances change. Techline Tools
may suspend or terminate accounts where registration information is found to be false,
misleading, or materially incomplete.
3.3 Account Credentials
Account login credentials — including usernames and passwords — are managed through
Shopify's authentication infrastructure. You are responsible for maintaining the confidentiality of
your credentials and for all activity that occurs under your account. Notify us immediately if you
suspect unauthorized access or a compromise of your account security.
3.4 Approval Timing
Techline Tools does not guarantee a specific timeline for account review. We will make
reasonable efforts to communicate approval decisions in a timely manner. Pending applications
may be placed on hold while additional information is gathered.
4. Authorized Purchasers and Account Responsibility
Approved accounts may include multiple authorized purchasers associated with specific
business locations or departments. The account holder is responsible for:
• Ensuring that all authorized purchasers understand and comply with these Terms;
• Managing access permissions and removing purchasers who are no longer authorized;
• All orders placed under the account, regardless of which individual placed them
• Any misuse, unauthorized access, or policy violations associated with the account.
• The account holder remains responsible for all activity under the account, including
compliance with any applicable Master Supply Agreement (“MSA”).
Account access and pricing visibility are extended solely to approved account holders for their
own organizational purchasing. Account credentials, pricing information, and purchasing access
may not be shared with, transferred to, or used on behalf of any third party outside your
organization. Unauthorized sharing or misuse of account access may result in immediate
account suspension and may constitute a breach of these Terms.
5. Pricing Visibility and Confidentiality
Pricing on the Techline Tools platform is confidential and is made available exclusively to
approved account holders. Approved account holders agree to treat pricing information as
confidential and not to disclose, distribute, publish, or otherwise share pricing with any party
outside their organization without prior written consent from Techline Tools.
Product pricing and availability are subject to the MSA agreement between Techline Tools and
the customer.
6. Orders and Order Acceptance
6.1 Order Submission
Submitting an order through any Techline Tools platform constitutes an offer to purchase. An
order is not accepted or binding until Techline Tools accepts the order. An example of
acceptance could include, but not be limited to, receipt of a written order acknowledgement.
Orders are also subject to any ordering procedures, approval requirements, or limitations set
forth in an applicable Master Supply Agreement (“MSA”).
6.2 Right to Decline or Modify Orders
Techline Tools reserves the right to refuse, cancel, or modify any order for any reason, including
but not limited to:
• Pricing or product description errors;
• Product unavailability or supplier discontinuation;
• Suspected fraud, misuse, or policy violations;
• Orders that appear unusually large, atypical for the account, or inconsistent with normal
purchasing patterns;
• Concerns about the customer's ability to fulfill payment obligations; or
• Any other operational or compliance-related reason at Techline Tools' discretion.
If an accepted order is subsequently cancelled by Techline Tools due to a pricing error or
inventory issue, we will notify you promptly and issue a full refund of any payment received. We
will not be liable for any additional costs, losses, or damages resulting from such cancellations.
6.3 Suspicious or Unusually Large Orders
Techline Tools may, at its discretion, limit quantities, decline to fulfill, or request additional
verification for any order that appears unusual in volume, frequency, or nature. This includes
orders that may suggest unauthorized resale, circumvention of pricing agreements, or bulk
purchasing inconsistent with the customer's account profile.
7. Payment Terms
Payment terms are governed by the applicable Master Supply Agreement (“MSA”) or other
written agreement between Techline Tools and the customer, which establishes pricing,
invoicing structure, payment timelines, and accepted payment methods.
Where no MSA exists, or where a transaction falls outside the scope of an existing MSA,
payment is due according to the terms specified at the time of order or as otherwise agreed in
writing.
Techline Tools does not store, process, or have access to full payment card numbers. Payment
processing is handled through Shopify or other authorized providers in accordance with
applicable security standards.
Accounts with outstanding balances past their agreed payment due date may be subject to
order holds, suspension of purchasing access, or account termination. Techline Tools reserves
the right to pursue all available legal remedies to recover unpaid balances.
8. Shipping, Fulfillment, and Backorders
8.1 Fulfillment
Orders placed through the Techline Tools platform may be fulfilled directly by Techline Tools or
by third-party distributors or manufacturers, depending on the product and supplier relationship.
By placing an order, you acknowledge that fulfillment may involve third parties.
8.2 Estimated Fulfillment Dates
Any shipping or fulfillment date communicated at the time of order — whether on the website, in
an order confirmation, or in correspondence — is an estimate only and is not a guarantee of
delivery by a specific date. Fulfillment dates are binding only if explicitly confirmed in writing by
an authorized representative of Techline Tools. Refer to the MSA for further information
regarding fulfillment dates and responsibilities.
8.3 Backorders and Supplier Delays
Certain products may be subject to backorder status, manufacturer production delays, freight
limitations, or supplier allocation constraints. Techline Tools will make reasonable efforts to
communicate known delays promptly. We are not liable for delays caused by our suppliers,
freight carriers, or other parties outside our direct control. Refer to the MSA for further
information regarding backorders and delays.
8.4 Discontinued Products
Products may be discontinued by manufacturers without advance notice to Techline Tools. If a
product in a submitted or accepted order is no longer available, we will notify you and, where
possible, suggest alternatives. You will not be charged for products that cannot be fulfilled.
Refer to the MSA information regarding products.
8.5 Force Majeure
Techline Tools shall not be liable for any delay, interruption, or failure to perform its obligations
under these Terms where such failure arises from causes beyond our reasonable control. This
includes, without limitation: natural disasters, severe weather events, fires, floods, acts of war or
terrorism, government actions, labor disputes, supply chain disruptions, carrier failures,
pandemics, or other events that are extraordinary, unforeseeable, and outside the control of
Techline Tools. In such circumstances, Techline Tools will make commercially reasonable
efforts to communicate the situation and resume normal operations as soon as practicable.
Shipping terms, delivery obligations, and risk of loss may be further defined in an applicable
Master Supply Agreement (“MSA”), which shall control in the event of any inconsistency with
these Terms.
9. Returns, Warranty Claims, and Manufacturer Policies
9.1 Return Eligibility
Returns are subject to the policies established at the time of purchase, the product category,
and applicable manufacturer requirements. Not all products are eligible for return. Items that
have been used, installed, modified, or are part of a special or custom order may not be
returnable. Contact Techline Tools before returning any product.
9.2 Warranty Claims
Many products sold through Techline Tools are subject to the manufacturer's warranty, not a
warranty provided by Techline Tools directly. Warranty terms, coverage periods, and claims
procedures vary by manufacturer and product. Techline Tools will assist in coordinating
warranty claims where possible, but we do not independently warrant the products we sell
beyond what is expressly stated in writing.
9.3 Manufacturer and Compliance Policies
Certain products may carry specific use restrictions, certification requirements, or manufacturer-
imposed distribution policies. Customers are responsible for reviewing and complying with all
applicable product documentation, manufacturer guidelines, and regulatory or safety
requirements before purchasing and using any product.
Returns, warranty claims, and manufacturer policies may be further defined in an applicable
Master Supply Agreement (“MSA”), which shall control in the event of any inconsistency with
these Terms.
10. Product Information and Availability Disclaimer
Techline Tools makes reasonable efforts to maintain accurate product listings, descriptions,
images, and specifications on our platform. However:
• Product images and renderings are for illustrative reference only. Actual products may
differ in appearance, color, or configuration from what is displayed.
• Product specifications, technical details, and descriptions may not reflect the
manufacturer's most recent revisions, updates, or design changes. We recommend
consulting current manufacturer documentation for specifications on which critical
purchasing decisions depend.
• Product availability and pricing are subject to change at any time without prior notice.
• Techline Tools does not guarantee that any specific product will be available at the time
an order is placed.
We are not responsible for errors in product listings that result from typographic mistakes,
outdated supplier data, or third-party content inaccuracies. We reserve the right to correct any
errors at any time, including after an order is submitted.
Nothing in this section limits any express commitments made in a Master Supply Agreement
(“MSA”), where applicable.
11. Acceptable Use of the Website
All users of any Techline Tools website — including general visitors — agree not to:
• Use the website for any unlawful purpose or in violation of any applicable federal, state,
or local law;
• Attempt to access accounts, pricing, or systems that you are not authorized to use;
• Use automated tools, bots, scrapers, or similar technologies to extract data from the
website without written permission;
• Transmit viruses, malware, or other harmful code through the website;
• Attempt to probe, scan, or test the vulnerability of the website or its underlying
infrastructure;
• Interfere with the operation of the website or disrupt access for other users;
• Misrepresent your identity, organizational affiliation, or business purpose; or
• Use account access or gated pricing for any purpose other than legitimate purchasing on
behalf of your organization.
Techline Tools reserves the right to block, restrict, or take legal action against any user who
engages in prohibited conduct.
12. Intellectual Property
All content on Techline Tools websites — including but not limited to the site design, logo, text,
photography, product descriptions, graphics, and proprietary data — is owned by or licensed to
Techline Tools and is protected by applicable copyright, trademark, and other intellectual
property laws.
You may view and print content from this website solely for internal business use related to your
account. You may not reproduce, republish, distribute, modify, or commercially exploit any
content without prior written permission from Techline Tools.
Product names, trademarks, and brand identifiers appearing on this website belong to their
respective manufacturers and owners. Their appearance on this platform does not grant any
license or right to use those marks.
13. Third-Party Services and Shopify
The Techline Tools website is built on and operated through Shopify, a third-party ecommerce
platform. By using this website, you acknowledge that certain functions — including account
authentication, payment processing, and checkout — are provided by Shopify, not Techline
Tools directly.
Your use of the Shopify-powered platform is also subject to Shopify's Terms of Service and
Privacy Policy, available at shopify.com/legal. Techline Tools is not responsible for Shopify's
policies, service interruptions, or changes to Shopify's platform features.
Certain orders may be fulfilled in part by third-party distributors or manufacturers.
Techline Tools coordinates with these partners on your behalf, but is not responsible for their independent actions, delays, or errors once goods leave their facilities, except where expressly stated otherwise.
Links to third-party websites may appear in product pages or communications. Techline Tools
does not endorse, control, or take responsibility for the content or practices of any external site.
Techline Tools does not guarantee continuous or uninterrupted access to the platform.
14. Limitation of Liability
To the fullest extent permitted by applicable law, Techline Tools — including its officers,
employees, agents, suppliers, and affiliates — shall not be liable for:
• Indirect, incidental, special, consequential, or punitive damages of any kind;
• Loss of profits, revenue, business opportunities, or anticipated savings;
• Business interruption or loss of business data arising from use of or inability to use the
platform;
• Delays, errors, or omissions in product fulfillment caused by third-party suppliers,
manufacturers, or freight carriers;
• Harm resulting from improper use of products purchased through the platform; or
• Unauthorized access to or alteration of your account or data.
These limitations apply regardless of the legal theory under which a claim is brought — whether
in contract, tort, strict liability, or otherwise — and even if Techline Tools has been advised of
the possibility of such damages.
In jurisdictions where certain limitations of liability are not permitted, our liability will be limited to the fullest extent allowed by law. In no event will Techline Tools' aggregate liability to you for
any claim arising out of these Terms exceed the total amount paid by you for the specific order
giving rise to the claim.
Where a Master Supply Agreement (“MSA”) contains separate or additional limitations of
liability, those provisions shall control to the extent of any conflict with this section.
15. Indemnification
You agree to defend, indemnify, and hold harmless Techline Tools and its affiliates, officers,
employees, agents, and suppliers from and against any claims, liabilities, damages, losses, or
expenses — including reasonable attorneys' fees — arising out of or related to:
• Your use of the website or platform;
• Any order placed under your account;
• Your breach of these Terms;
• Misuse of account credentials, gated pricing, or purchasing access;
• Violation of any applicable law, regulation, or safety requirement; or
• Your use or misuse of products purchased through the platform.
Indemnification obligations may be supplemented or modified by an applicable Master Supply
Agreement (“MSA”).
16. Disclaimer of Warranties
The Techline Tools website and platform are provided on an "as is" and "as available" basis
without warranties of any kind, express or implied. To the fullest extent permitted by law, Techline Tools disclaims all warranties, including:
• Implied warranties of merchantability, fitness for a particular purpose, or non-
infringement;
• Warranties regarding the accuracy, completeness, or reliability of any product
information, pricing, or availability displayed on the platform;
• Warranties that the platform will be available uninterrupted, error-free, or free from
harmful components; and
• Warranties regarding the outcome of any particular use of a product purchased through
the platform.
Techline Tools does not provide legal advice, engineering certifications, workplace safety assessments, or compliance guidance through this platform. Customers are solely responsible
for determining whether any product is appropriate and lawful for their intended use.
This disclaimer applies except to the extent that any express warranty is provided in a Master
Supply Agreement (“MSA”) or other written agreement.
17. Account Suspension or Termination
Techline Tools may suspend, restrict, or permanently terminate any account — with or without
prior notice — for reasons including but not limited to:
• Violation of these Terms or any applicable policy;
• Fraudulent, deceptive, or unauthorized activity;
• Unauthorized sharing of account credentials or gated pricing;
• Suspected or confirmed unauthorized resale of products;
• Nonpayment or repeated late payment;
• Abusive conduct toward Techline Tools staff or third-party partners; or
• Any activity that Techline Tools reasonably believes poses a legal, financial, or
reputational risk.
Suspended or terminated account holders remain responsible for all charges incurred prior to
termination. Termination of an account does not relieve any party of obligations arising from
orders placed prior to termination.
Termination of an account does not affect any rights or obligations under an applicable Master
Supply Agreement (“MSA”), which shall continue in accordance with its terms.
You may close your account at any time by contacting Techline Tools directly. Account closure
does not affect obligations outstanding at the time of closure.
18. Governing Law
These Terms shall be governed by the laws of the State of Texas, unless otherwise specified in
an applicable Master Supply Agreement (“MSA”), in which case the governing law provisions of
the MSA shall control.
19. Dispute Resolution
Before initiating formal legal proceedings, you agree to contact Techline Tools in writing to
describe the nature of the dispute and allow a reasonable period — no fewer than thirty (30)
days — for good-faith resolution.
Nothing in this section prevents either party from seeking emergency injunctive or other
equitable relief in court where necessary to prevent irreparable harm.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be
severed and the remainder of these Terms shall continue in full force and effect.
Dispute resolution procedures set forth in an applicable Master Supply Agreement (“MSA”) shall
control over this section where applicable.
20. Privacy Policy Reference
Your use of any Techline Tools website is also governed by our Privacy Policy, which is
incorporated into these Terms by reference. The Privacy Policy describes how we collect, use,
store, and protect information from visitors, applicants, and account holders — including
information related to orders, communications, and payment processing.
In the event of any conflict between these Terms and the Privacy Policy on matters of data handling or communication, the Privacy Policy shall control with respect to privacy-specific
matters. The current Privacy Policy is available at pec.techlinetools.com and may be updated
from time to time as described therein.
21. Customer Compliance Responsibilities
Customers are solely responsible for ensuring that their purchase, possession, and use of products acquired through the Techline Tools platforms complies with all applicable federal, state, and local laws, regulations, ordinances, and workplace safety standards. This includes,
but is not limited to:
• Occupational safety and health requirements established by OSHA or applicable state
agencies;
• Procurement policies and purchasing requirements of your organization or governmental
entity;
• Industry-specific regulations governing the use of tools, equipment, or materials in your
field; and
• Any permit, license, or certification requirements associated with the products you
purchase.
Customers must also comply with any compliance-related obligations set forth in an applicable Master Supply Agreement (“MSA”).
Techline Tools does not represent that any product sold on the platform satisfies a specific
regulatory requirement, certification standard, or safety specification for any particular
application. Customers should independently verify compliance requirements before
purchasing.
22. Modifications to Terms
Techline Tools may update or modify these Terms from time to time as our platform, services,
or legal obligations evolve. When material changes are made, we will:
• Update the "Last Revised" date at the top of this document;
• Notify active account holders by email of significant changes; and
• Post the current version of the Terms on any Techline Tools website.
Modifications to these Terms will not amend or override the terms of any existing Master Supply
Agreement (“MSA”) unless expressly agreed in writing by both parties.
Continued use of the website or your account following the effective date of any update constitutes acceptance of the revised Terms. If you do not agree to a material change, please contact us to discuss your options or close your account.
